Would you Ride a Motorcycle Without a Helmet?

Many states don’t require companies to have an operating agreement.


Many states also don’t require motorcyclists to wear helmets, but that does not stop helmets from saving lives.


Just like a helmet, a good operating agreement can save lives (the life of a company, that is).

It does that by providing a framework for how disagreements among owners will be resolved.


When Pam and Carmen first contacted me, they had found an operating agreement online. They asked me if it was good. When I read it, though, it didn’t include anything about how they would work through a big disagreement.


Not every form on the internet is good (surprise!)


If you have a friend who is starting a business, they may think that getting forms online will save money. Ask them to tell you about a time they said, “this contract isn’t worth the paper it’s printed on.”


Friends don’t let friends get contract forms online.
